MCA introduces new provisions under LLP Act similar to Companies Act

ANNOUNCEMENT

Sub: Planning of extension of few of the provisions of the Companies Act, 2013 to the LLP Act, 2008

This is to inform you that the Ministry of Corporate Affairs has issued an announcement regarding planning of extension of few of the provisions of the Companies Act, 2013 with some modifications and adaptations, to the LLP Act, 2008 vide its power drawn from Section 67(1) of the LLP Act, 2008. The said provisions which are planned to be extended to LLP Act, 2008 are as follows:

3 Section 165(1), 165(3) to 165(6) Number of Directorships

5 Section 206(5) Power to Call for Information, Inspect Books and conduct Inquiries
6 Section 207(3) Conduct of Inspection and Inquiry
7 Section 252(1) to 252(3) Appeal to Tribunal
8 Section 439(1) to 439(4) Offences to be Non-cognizable

In this regard, limited liability Partnerships (LLP), Partners and Designated partners thereof are advised to take note of the same for appropriate action.

Stakeholders are hereby informed that the Central Government, in Ministry of Corporate Affairs, under section 67(1) of LLP Act, 2008 will be extending Sub- sections (1) to (11) of section 90, Sub- sections (1) and (2) of section 164 , Sub-sections (1) and (3) to (6) of section 165, Sub-section (1) to (3) of section 167, Sub-section (5) of section 206, sub-section (3) of section 207, Sub-sections (1) to (3) of section 252 and Sub-sections (1) to (4) of Section 439 of the Companies Act, 2013 to limited liability Partnerships with modification and adaptation soon. Accordingly, limited liability Partnerships, Partners and Designated partners thereof are advised to take note of the same for appropriate action.”
